This website is operated by Prana Kitchens. Throughout the site, the terms “we”, “us” and “our” refer to Prana Kitchens. Prana Kitchens offers this website (“Site”), including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting the Site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply  to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Prana Kitchen store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.

Section 1 - Online store terms

By agreeing to these Terms of Service, you represent and warrant that you are 13 years of age or older. In addition, you may not make a purchase from our site unless you are at least 18 years of age. You also represent and warrant that you have full power and authority to enter into this agreement and in doing so will not violate any other agreement to which you are a party.

In consideration of your use of the Prana Kitchens site, you agree to (a) provide accurate, current and complete information; (b) maintain and promptly update your account information; (c) maintain the security of your password and accept all risks of unauthorized access to your account and the information you provide to Prana Kitchens; and (d) promptly notify us if you discover or otherwise suspect any security breaches related to the site. 

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must also  not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

Unless otherwise indicated on the Site, all content and materials therein, including but not limited to Prana Kitchens logos, Dosha Quiz, all designs, text, graphics, pictures, information, data, software, sound files, other files and the selection and arrangement thereof (collectively, "Site Content") are the proprietary property of Prana Kitchens, its affiliates, licensors, suppliers or users and are protected by U.S. and international copyright laws.

You are granted a limited, nonexclusive, non-sublicensable license to access and use the Site and electronically copy (except where prohibited without a license) and print hard copy portions of the Site Content for your informational, noncommercial and personal use. Such license is subject to these Terms and excludes: (a) any resale of the Site or Site Content; (b) the collection and use of any product listings, pictures or descriptions; (c) the distribution, public performance or public display of any Site Content; (d) modifying or otherwise making any derivative uses of the Site and the Site Content, or any portion thereof; (e) use of any data mining, robots or similar data gathering or extraction methods; (f) downloading (other than page caching) of any portion of the Site, the Site Content or any information contained therein, except as expressly permitted on the Sites or pursuant to separate terms; or (g) any use of the Site or the Site Content other than for its intended purpose. Any other use of the Site or the Site Content, without the prior written permission of Prana Kitchens, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws, including but not limited to copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. This license is revocable at any time. 

Section 3 - Trademark

Prana Kitchens, the logos, and other Prana Kitchens products or service names, quizzes, logos or slogans that may appear on the Site are trademarks or registered trademarks of Prana Kitchens and its subsidiaries and may not be copied, imitated or used, in whole or in part, without the prior written permission of Prana Kitchens or the applicable trademark holder. You may not use any metatags or any other "hidden text" utilizing "Prana Kitchens" or any other name, trademark or product or service name of Prana Kitchens without our prior written permission. In addition, the Dosha Quiz, look and feel of the Site, including all page headers, custom graphics, illustrations, button icons and scripts, is the service mark, trademark and/or trade dress of Prana Kitchens and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned in the Site are the property of their respective owners.

If you believe that anything on the Site infringes upon any trademarks which you own or control, you may file a notification of such infringement with our designated agent as set forth in Section x. A proper notification should contain the same elements required for copyright complaints (please see 17 U.S.C. §512(c)(3)).

Certain content, products and Services available via our Site may include materials from third-parties.

Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or Services of third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, Services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

Prana Kitchens grants a limited, non-exclusive right to create hyperlinks to the Site for non-commercial purposes, provided such link does not portray Prana Kitchens or any of its products and services in a false, misleading, derogatory or otherwise defamatory manner and provided further that the linking site does not contain any adult or illegal material or any material that is offensive, harassing or otherwise objectionable. This limited right may be revoked at any time. You may not use a Prana Kitchens logo or any other proprietary graphic of Prana Kitchens to link to the Site without our express written permission. Further, you may not use, frame or utilize framing techniques to enclose any Prana Kitchens trademark, logo or other proprietary information, including the images found at the Site, the content of any text or the layout/design of any page or form contained on a page on the Site without Prana Kitchens’ express written consent.

If, at our request, you send certain specific submissions (for example product reviews) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. Prana Kitchens reserves the right, without notice and in its sole discretion, to terminate your right to use the Site, or any portion of the Site, and to block or prevent your future access to and use of the Site or any portion of the Site, which include the following websites and corresponding mobile applications ("Apps"), and any other websites, Apps or other Stores that we may launch from time to time (the "Stores"): pranakitchens.com. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

Section 8 - Accuracy, completeness, and timeliness of Information on the Site

Prana Kitchens reserves the right to modify or discontinue, temporarily or permanently, the Site or any features or portions thereof without prior notice. You agree that Prana Kitchens will not be liable for any modification, suspension or discontinuance of the Site or any part thereof. You agree that it is your responsibility to monitor changes to our Site.

We are not responsible if information made available on the Site is not deemed accurate, complete or current. The material on this Site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.

The Site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on the Site.

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you. You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and Services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Prana Kitchens, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using the Site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Prana Kitchens reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. Terms of Use for Product Purchases

All orders and transactions on the Site are subject to the Terms set forth herein. Submission of an order shall constitute, but is not the sole form of, your acceptance of such Terms.  

Section 16 - Modifications to Services and Product Pricing 

All prices are shown in U.S. dollars; taxes, shipping and handling charges are additional. All items are subject to availability and we reserve the right to impose quantity limits on any order, to reject all or part of an order, modify or discontinue the Service (or any part or content thereof) without notice at any time, even if you have already placed an order. All prices are subject to change without notice and you agree that taxes may be adjusted from the amount shown on the billing screens. Several factors may cause this, such as variances between processor programs and changes in tax rates.  

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Section 17 - Products or Services (if applicable)

These products or Services displayed on the Site may have limited quantities and are subject to return or exchange only according to our Return Policy.

Occasionally, there may be information on the Site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We have made every effort to display as accurately as possible colors and images of our products that appear on the Site. We cannot guarantee that your computer monitor's display of any color will be accurate.

No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated. We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or Services that we offer. 

We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

Section 18 - Accuracy of Billing & Account Information 

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

Section 20 - Payments, Returns, and Exchanges

Only valid credit cards or other payment methods acceptable to us may be used and all refunds will be credited to the same card or, in our sole discretion, other methods. By submitting your order, you represent and warrant that you are authorized to use the designated card or method and authorize us to charge your order (including taxes, shipping, handling and any other amounts described on the Sites) to that card or other method. If the card (or other method) cannot be verified, is invalid, or is not otherwise acceptable, your order may be suspended or canceled automatically. Regarding "Your Account," you agree to keep all payment cards or other payment method information current and that we may submit charges for processing even if the card (or other method) has expired or changed by the time we submit it. You must resolve any problem we encounter with your method of payment in order to proceed with your order.

Section 21 - Limited Warranty

Prana Kitchens warrants that Prana Kitchens branded products will be free from defects in material and workmanship at the time of sale. This warranty does not apply to damage or malfunctions caused by normal wear and tear during shipping, accidental damage, abuse, neglect, improper storage, handling or use, misuse, vandalism, or other causes external to the products. 

Prana Kitchens makes no other implied warranties and this limited warranty supersedes all prior representations and understandings regarding the products, including any warranties arising from course of dealing, performance, or usage of trade.

Section 22 - Exclusivity of Remedy; Limitation of Liability 

Your sole and exclusive remedy, and Prana Kitchens’ sole and exclusive liability for any breach of warranty shall be your right to return the product or receive a refund under Prana Kitchens’ return policy . In no event shall Prana Kitchens be liable for special, indirect, incidental, consequential or punitive damages, including without limitation lost profits or loss of business or any loss occasioned by delay in delivery, even if it has been advised of the possibility of such damages, nor shall the aggregate liability of Prana Kitchens, whether in contract, warrant, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to these terms or the purchase or use of any products or services purchased through the Site exceed the purchase price of the product or service. 

The foregoing is intended as a complete allocation of the risks between Prana Kitchens and you, and you hereby agree that this limitation upon remedies will not have failed of its essential purpose. Your remedies set out herein are exclusive. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
